1. Acceptance of Terms

By accessing or using the website at pixelprecisionweb.com or by engaging Pixel Precision Web for any service, you agree to be bound by these Terms and Conditions. If you do not agree to these terms, please do not use our website or services.

These Terms constitute a legally binding agreement between you (the "Client") and Pixel Precision Web, a web design and development agency registered and operating in Rajkot, Gujarat, India.

2. Services

Pixel Precision Web provides the following services (collectively, "Services"):

• Website Design & Development
• Logo & Brand Identity Design
• E-commerce Website Development
• Custom CRM Development
• Digital Marketing (SEO, Google Ads, Social Media)
• Website Maintenance & Support

All Services are subject to a separate project agreement, quote, or statement of work agreed upon before commencement of work.

3. Payment & Pricing

3.1 Pricing: All prices are quoted in Indian Rupees (INR) unless otherwise specified. Quoted prices are valid for 30 days from the date of the proposal.

3.2 Payment Schedule: Standard payment terms are:

• 50% advance payment before work begins
• 50% balance payment upon project completion, before final file delivery or website handover

3.3 Payment Methods: We accept UPI, NEFT/IMPS bank transfer, Razorpay, and international transfers (for international clients). All payments must be made in full before final delivery.

3.4 Late Payments: Work may be paused on accounts more than 15 days overdue. Pixel Precision Web reserves the right to charge 2% per month interest on outstanding balances.

3.5 Taxes: All prices are exclusive of GST. Applicable GST will be added to all invoices as required under Indian tax law.

4. Project Delivery & Revisions

4.1 Timeline: Project timelines are provided in the project agreement. Timelines depend on timely feedback and content provision by the Client.

4.2 Client Delays: If the Client fails to provide required content, feedback, or approvals within 14 days of a request, the project may be placed on hold. Additional charges may apply to restart a delayed project.

4.3 Revisions: The number of included revision rounds is specified in each project quote. Revisions beyond the agreed number will be billed at our standard hourly rate.

4.4 Final Approval: Upon client's written approval (email or WhatsApp), the project is deemed complete. Any changes requested after final approval will be treated as a new project or billed separately.

5. Intellectual Property

5.1 Ownership: Upon receipt of full payment, the Client receives full ownership of all final deliverables (website code, design files, logos) created specifically for their project.

5.2 Third-Party Assets: If the project uses licensed stock images, fonts, plugins, or other third-party assets, the Client is responsible for ensuring they have appropriate licenses for commercial use.

5.3 Portfolio Rights: Pixel Precision Web reserves the right to display completed work in our portfolio, website, and promotional materials unless the Client requests in writing that work remains confidential.

5.4 Pre-existing IP: Any tools, frameworks, code libraries, or templates developed prior to or independently of the project remain the intellectual property of Pixel Precision Web.

6. Client Responsibilities

The Client agrees to:

• Provide accurate, complete, and timely information, content, and feedback required for project completion
• Ensure they have legal rights to use any content, images, trademarks, or other materials provided to Pixel Precision Web
• Not use our services for any unlawful, misleading, or harmful purpose
• Maintain the security of any login credentials provided
• Inform us promptly of any changes in requirements or scope

7. Confidentiality

Both parties agree to keep confidential any proprietary information exchanged during the course of the project. This includes business data, pricing, strategies, and technical details. This obligation survives the termination of the project agreement.

8. Limitation of Liability

8.1 Pixel Precision Web's liability for any claim arising from our Services shall not exceed the total fees paid by the Client for the specific project in question.

8.2 We are not liable for:

• Loss of business, revenue, profits, or data
• Third-party service failures (hosting, domain registrars, payment gateways)
• Losses resulting from delays caused by the Client
• SEO ranking changes caused by search engine algorithm updates
• Security breaches caused by the Client's failure to update software or maintain security

8.3 Our website is provided "as is" without warranty of any kind. We make no guarantees regarding uptime, error-free operation, or fitness for a particular purpose.

9. Termination

9.1 By Client: The Client may cancel a project at any time. The advance payment is non-refundable. Any work completed beyond the advance payment stage is billable at our standard rate.

9.2 By Pixel Precision Web: We reserve the right to terminate any project or service agreement if the Client:

• Fails to make payment within the agreed timeline
• Engages in abusive, threatening, or inappropriate behavior toward our team
• Requests work that violates applicable laws or our ethical standards

In such cases, the Client will be billed for all work completed up to the termination date.

10. Dispute Resolution

Any disputes arising from these Terms or our Services shall first be attempted to be resolved through mutual discussion. If not resolved within 30 days, disputes shall be subject to the jurisdiction of the courts in Rajkot, Gujarat, India. These Terms are governed by the laws of India.

11. Changes to Terms

Pixel Precision Web reserves the right to modify these Terms at any time. Changes will be posted on this page with an updated date. Continued use of our website or services after changes are posted constitutes acceptance of the revised Terms.
